1. Price

Prices are quoted in Euros, net of taxes. Prices are subject to change without notice

2. Order

All orders for recording equipment or services must be accompanied by a signed and stamped order form or quote, which implies full and unreserved acceptance of our general terms and conditions of sale. Any modification to these general terms and conditions must be explicitly stated on the invoice, the accepted quote, or in the form of Special Terms and Conditions of Sale.

3. Billing

Invoices are always issued at the prices and conditions in effect at the time the service or equipment was ordered. The minimum invoice amount is 30 Euros excluding VAT.

4. Delivery

VOXELIS reserves the right to deliver your orders in full or in part. Shipping time for equipment is 48 business hours from receipt of order, subject to item availability. For specific equipment preparation services (music pre-loading, memory expansion, etc.), this timeframe is extended to 72 hours. VOXELIS will notify you by fax or email of any delays.

5. Transportation

Shipping costs are the responsibility of the customer. Shipping is free for all recording services or equipment orders with a minimum value of €300 excluding VAT for mainland France and Corsica (excluding overseas territories). In the event of missing or damaged equipment, specific written reservations must be noted on the delivery slip and confirmed within 3 business days by registered letter with acknowledgment of receipt. Failure to comply with these conditions will render the customer liable and no refund will be issued. Upon receipt, the customer must inspect the goods and verify the quantities, condition of the equipment, product references, and conformity to the order. After 3 days from the date of receipt, no claims will be accepted.

6. Warranty

Material

VOXELIS provides a one-year standard exchange warranty on all invoiced products. This warranty excludes malfunctions resulting from abnormal use,
power surges, breakage, fire, water damage, or installation not performed by a telecommunications professional. Standard exchanges are subject to equipment availability. If an exchange is made in advance, the faulty equipment must be returned within fifteen days. After fifteen days, any unreturned equipment will be invoiced at the current new equipment price.

Registration services

VOXELIS provides a guarantee on all invoiced voice messages. The claim period is limited to 10 business days from the message delivery date. This guarantee applies in the event of non-compliance of the delivery with the client's instructions (errors in texts, music, file formats and durations, recording media) and in the event of sound levels being unsuitable for the broadcast equipment specified by the client. In the case of subjective criteria for evaluating the client's explicit instructions (tone, rhythm, accent, etc.), the guarantee applies provided that the client accepts a 20-business-day reflection and trial period to confirm their claim. The client agrees to provide all artistic and technical information necessary for the successful production of a voice message: phonetics, typed text, foreign language translation, background music, message duration, message delivery format, and delivery medium. The information attached to the order form is considered a "Recording Approval." This information is essential for the application of the warranty clause.

7. Subscription contracts, message credits

Recurring recording services, subscription packages, and message credits sold by VOXELIS are subject to specific terms and conditions of sale, stipulated in the sales documents for these services and accepted by the client upon ordering or payment of the first invoice

8. Payment terms

Type of regulation

Payment for the first order is due in full by check or bank transfer. Subsequent orders are payable upon receipt of invoice by bank transfer, check, or accepted draft, payable 30 days end of month. Invoice disputes must be received no later than eight days after receipt of the statement.

Late payment penalties

For invoices not paid by the due date, all legal and procedural costs will be borne by the debtor. Any delay in payment
will automatically result in a fixed penalty of 15% of the total amount of the unpaid invoice, payable by the client.

Retention of title

VOXELIS retains ownership of the goods sold until full payment for the equipment supplied has been received (Law No. 80-335 of March 12, 1980).

9. Intellectual and artistic property

Any reproduction or distribution, in whole or in part, of our recordings without authorization is illegal and exposes the offender to legal action.

10. Limitations of Liability

VOXELIS's services are limited to the supply and delivery of equipment and sound recordings, the use, maintenance, and coordination of which remain the client's responsibility. VOXELIS disclaims all liability for indirect consequences of equipment, logistical, or scheduling malfunctions related to these
services.

11. SACEM and SCPA taxes, duties and royalties

All taxes, duties, and royalties such as SACEM or SCPA (SCPP and SPPF), present or future, are the responsibility of the client and must be paid by them. Music described as "
royalty-free" or "free of SACEM and/or SCPA royalties" is guaranteed by VOXELIS to be royalty-free at the time of order and for a maximum period of 12 months. During this period, if the music becomes a protected work and therefore subject to royalties from these organizations, VOXELIS undertakes to remix your recording free of charge with another piece of music of your choice.

12. Responsibilities and Competencies

For any dispute between VOXELIS and one of its clients, the competent jurisdiction will be the Commercial Court of BORDEAUX.
