1. Purpose

These Subscription and Use Terms (hereinafter referred to as "SUT") are published by Voxelis SAS, located at 122 rue de la Croix de Seguey, 33000 Bordeaux, France, registered under number RCS BORDEAUX 682 015 888, for the services that Voxelis offers as a "Software as a Service (SaaS)" website under the trade name "Voconix". The SUT define (i) the terms of subscription and use of the Voconix Services and (ii) the rights and obligations of each Party within the framework of the Subscription.

Definitions

“Platform” means the technical infrastructure consisting of all hardware, source code and object code, software, operating system, databases and environment managed by Voconix and its partners and accessible remotely in SaaS (Software As a Service) mode by Users, allowing the User in particular to create a dedicated space and use the Services made available by Voconix.

“Site” refers to the website voconix.fr operated by Voconix, or one of its variants in a foreign language.

"Service" refers to the service made available to Users for the purposes of their professional activities on the Platform. The Services include the editing, production, and downloading of voice messages mixed with music, as well as related or ancillary services. 

“User Account” or “Account” refers to the personal account attached to a User allowing them to access the functionalities of the Services according to the subscription chosen and their associated rights.

“Subscriber” means any natural or legal person who has created an Account or subscribed to the Services, by accepting the Terms of Use.

 “Subscription” means secure access to an Account and subscription to associated Services, whether this subscription is made free of charge or for a fee.

2. Subscription

2.1 Creating a subscription

Subscribers' acceptance of these Terms of Use is formalized during the initial creation of a User Account by clicking a checkbox with an explicit note on the "Create your account" page. By subscribing to the Services, creating their Account, or subsequently subscribing to additional Services, the Subscriber accepts these Terms of Use and expressly waives all other general or specific terms and conditions, or any general terms and conditions of purchase.

Creating an account and subscription on Voconix requires professional users, meaning any self-employed professional or any legal entity through its legal representative or someone authorized to bind it. Account and subscription creation is not available to individual users.

Account creation requires a valid email address. Voconix initiates an email verification process after the account creation request. If this process fails, Voconix will close the account without notice.

Voconix reserves the right to refuse an Account creation request for legitimate reasons.

2.2 Nature of the subscription

Each Subscriber has an Account allowing them to access a secure personal space, in which (i) they store, enter and configure their own information and settings, and can edit message templates, which constitutes the main Service, (ii) they subscribe to and use Services, such as downloading the final audio files of their message edits, or increasing certain features of their Account, (iii) they create Users linked to their organization and their Account.

The subscription includes:

  • Free services inherent to the creation and maintenance of an active account
  • Free or paid Services subscribed to through a free or paid plan, concluded for a period of 12 months during which the rights related to the chosen Services apply
  • Free or paid services subscribed to on an ad hoc basis, intended to be consumed quickly.
 

When a Subscriber has an Account without having purchased an annual paid Subscription, they are considered to be on a "Free Subscription". The Free Subscription is designed to allow Subscribers to discover and test access to the Services, to maintain access to their Account for a limited period, to subscribe to one-off Services, or to convert their Free Subscription to a Paid Subscription.

The Free Subscription to Services is subject to the terms of the Terms of Use. The Services that can be used with this Free Subscription do not include all the features of the paid Services, and the scope and content of the Free Subscription Services are subject to change by Voconix without notice.

A Subscriber who has already benefited from a Free Subscription and which has been closed will no longer have the possibility to create another Account for free, unless there is an exceptional intervention by the Voconix Customer Service.

Users of a Free Subscription agree not to open multiple Accounts on multiple email addresses to benefit from free Services for the same organization under different identifiers.

Access to a Free Subscription is not intended to be maintained indefinitely. Voconix reserves the right to suspend or terminate any Free Subscription for which the Subscriber information is not correctly entered or in the event of prolonged account inactivity, in accordance with the provisions of Article 12.

2.3 Subscriber Information

The Subscriber agrees to (i) provide Voconix with all information necessary for the provision of the Services, billing and payment and to update this information in the event of any changes; (ii) only allow access to the Platform to Users identified and authorized by the Subscriber to access it, and to ensure that they also comply with the terms of the UAC.

3. Terms of Service

When using the Services, the User agrees to: 

  • use and access the Services in accordance with the Terms of Use, help documentation, and instructions provided by Voconix staff;
  • not to degrade the performance of the Platform;
  • not to access the Platform, its Services and its documentation for the purpose of assisting in the development, by itself or by a third party, of services that compete with Voconix Services;
  • verify that its computer system, configuration, internet browsing software, telecom connections, antivirus and anti-hacking protections are sufficient for the use of the Services;
  • use the Services in compliance with applicable legislation;
  • not to use the Services in a way that could harm the reputation of Voconix;
  • that the data communicated by the User does not infringe the rights of third parties and to be authorized to reproduce and/or distribute it;
  • that the content of the Messages (a) is not illegal or does not promote illegal activities; (b) does not defame, threaten or incite violence; (c) does not contain viruses, worms, malware, Trojan horses and/or any other content designed or intended to disrupt, damage and/or limit the operation of the Platform and/or to damage and/or gain unauthorized access to any data.
 

Each Subscriber/User is responsible for their use of the Services and the data they submit in the free-text fields available on the Platform. Users agree not to enter sensitive data or highly personal data as defined by the GDPR, nor any other information subject to specific regulations restricting its use.

4. Maintenance and updates

The Subscriber acknowledges and accepts that Voconix may modify its Platform and implement updates and/or new versions of the Platform to improve the quality and/or functionality of the Services. These changes may alter how the Services are operated, for example, in terms of usability, data presentation, and performance. Voconix will make its best efforts to minimize the impact of these modifications and to inform the Subscriber/User within a reasonable timeframe using all available means.

Voconix may also perform maintenance operations to ensure the proper functioning of the Services and the Platform. Voconix will make every effort to minimize the duration and any potential consequences (service disruptions, temporary unavailability).

5. Obligations, responsibilities and guarantee

The Platform is a standard SaaS solution, which the Subscriber and/or User expressly acknowledges and accepts. It is therefore not intended to meet any individual and/or specific requirements of the Subscriber and/or User. Voconix excludes all warranties of any kind whatsoever, to the extent permitted by law. 

As a SaaS solution provider, Voconix's primary obligation is to make the Services available through technical means that ensure their proper functioning and maintenance. As a technical intermediary, Voconix is ​​bound by an obligation of means under the Terms of Use. 

The Subscriber and/or User acknowledges that the provision of the Services depends on the reliability, availability, and continuity of third-party providers (telecommunications operators, public internet infrastructure). Voconix shall not be held liable for any interruption of the Services, bugs, errors, transmission failures, or any other event occurring beyond its control, particularly those caused by third-party providers.

The Subscriber and/or User accepts and acknowledges that Voconix's liability is limited to direct and foreseeable damages, subject to proof of a direct causal link between the damage and the breach of contract. Excluded are (i) all damages that do not result exclusively and directly from a failure of the Voconix Services, (ii) any indirect and/or unforeseeable or consequential damages, including but not limited to damages resulting from service interruptions, loss of customers, business disruption, damage to image and/or reputation, loss and/or corruption of data, delays in service performance, and damages not resulting exclusively and directly from a failure of the Voconix Services, suffered by the Subscriber and/or User. Voconix is ​​exempt from all liability in the event of negligence or improper use of the Services.

Voconix's total liability for all claims relating to or arising out of the performance of the Services shall not exceed the total price of the Services paid by the Subscriber for the Services in question, under the Terms of Use, during the twelve (12) months preceding the event giving rise to the claim. This limitation of liability is a determining condition of Voconix's commitment.

6. Price - Invoicing - Payment Terms

6.1 Price

The Subscriber agrees to pay Voconix the prices for Services shown on the electronic invoices.

Voconix may change all or part of the applicable Service prices. The Subscriber will be notified by Voconix, by any means, one (1) month before the new Service prices take effect. If the Subscriber has an annual subscription, the change will take effect at the end of the period for which they have paid for the Subscription. The Subscriber has the right to refuse this price increase and, if they do so, must terminate their Subscription by submitting a cancellation/non-renewal request for the affected Service(s) without penalty, within the timeframe stipulated in Article 12. The termination will take effect on the date the new Service prices are applied.

6.2 Billing

The invoice is sent to the Subscriber electronically via their Subscriber Account when payment is made online. For all annual Subscriptions, the invoice will be issued at the beginning of the first month of the current annual period. 

Any invoice not disputed within thirty (30) days of its issue date is deemed duly accepted by the Subscriber. The Subscriber may not use any offsetting or deduction mechanisms, nor withhold any amounts owed to Voconix under the Terms and Conditions. 

6.3 Payment terms

When subscribing to the paid Services, the Subscriber registers their preferred payment method on the Platform. The Services are payable by the Subscriber on the date indicated on the invoice, by direct debit, in advance.

By subscribing to Voconix Services, the Subscriber authorizes Voconix or its agent to invoice the annual Service Fees on a recurring basis, on the anniversary date, and to process payment by direct debit or credit card debit from their preferred payment method. This authorization remains in effect for the duration of the initial Subscription and its subsequent renewals until the Subscription is terminated, as defined in Article 12 of these Terms and Conditions. 

If the payment method used for the Subscription has expired, or if the account information has changed, or if, for any reason, a charge is rejected, the Subscriber agrees to immediately update their account by adding a valid payment method.

6.4 Payment Incidents

In the event of late payment, and without prejudice to Voconix's other rights and remedies and without the need for a reminder, outstanding amounts not paid by the day following the due date will automatically accrue interest at a rate equal to three (3) times the French legal interest rate per month of delay. In accordance with Article L.441-10 of the French Commercial Code, in the event of late payment, a fixed sum of forty (40) euros is automatically due from the Subscriber as compensation for recovery costs.

Any payment incident will result, according to the terms of Article 12, in the suspension of the Subscription and access rights to the Services for the Subscriber and the Users concerned by this payment incident.

6.5 Complaints

All inquiries related to billing or payment methods should first be sent to hello@voconix.fr. In the event of a complaint from the Subscriber, Voconix will process the request as quickly as possible in order to reach an amicable solution. The Subscriber remains liable for the undisputed amount of the invoice that is the subject of the complaint.

7. Specific conditions of services

The Services provided to the User in SaaS mode include several tools for editing and creating voice and music messages, and for downloading audio files in various formats. These tools allow the User to be fully autonomous in these voice message editing tasks and to produce quickly.

Voconix has designed and optimized its Services primarily for specific uses of voicemail messages, namely: (i) all greeting, on-hold, and answering machine messages for landline or mobile telephony; (ii) messages intended for broadcast over the public address system in a public space, for informational or advertising purposes. The User acknowledges being fully informed of these uses and is not entitled to complain about defects, difficulties in use, or a lack of information regarding Voconix's Services if they intend to use the voicemail messages for other purposes.

7.1 Specifics of Generative Voice AI

The Services offered by Voconix use one or more external generative voice artificial intelligence (Voice AI) engines, the purpose of which is to transform almost in real time a text entered by the User into a digital audio file, using "synthetic voices" of various genres, languages ​​and personalities.

Voconix does not guarantee the performance of the external AI speech engines used, which can vary, and whose final result is inherently unpredictable. The final result may not strictly adhere to the text submitted by the User (a technical phenomenon known as "hallucination"), may lead to difficulties in pronouncing certain words or expressions, particularly proper nouns, or may exhibit imperfections in prosody and tone.

Voconix does not guarantee the consistency over time of the final result generated with the same input data provided by the User. During repeated AI generation from identical or very similar data, speech AI engines are generally consistent, but there may be occasional variations in regeneration from one iteration to the next.

It remains the User's sole responsibility to accurately check the final audio result to ensure its quality and conformity to their initial instructions, before its final use.

7.2 Modification of voice and music sources

Voconix may, without prior notice, modify the AI ​​Voice engines supporting the Services, change the selection of "synthesized voices" within the catalog offered on the Site, or the music catalogs offered in the mixing tools, by adding new tracks or removing existing ones. These voices or music tracks will no longer be available for editing or stored in archived messages.

Consequently, the User has no guarantee of finding in the future a synthesized voice that he has already viewed or used, or a piece of music that he has already viewed or used, whether by regenerating an archived message, or by creating a new message.

7.3 Using mixing tools

Voconix offers music mixing tools within its Services. The User acknowledges that these automated tools use excerpts from music files that do not cover the entire original work or the track being played, and whose time alignment with voice messages cannot be precisely configured.

7.4 Assistance

Voconix provides Users with online help and occasional support via chat. This support service is intended to assist Users who encounter difficulties using the tools offered or finding answers in the online help. The support service is not designed to guide Users through the message editing and creation process, nor to modify the results generated by the User. If needed, Users can subscribe to paid technical support services for production or audio file editing, offered on the Website or through chat support.

7.5 Message Storage

Voconix offers archiving and preservation services for edited message history in the form of "projects," including all the settings and information used to regenerate an edit. Voconix does not store the generated audio files in their final format. It remains the User's responsibility to create their own archive of the final audio files they have generated.

The user acknowledges that Voconix may implement and enforce limits on capacity usage or history retention periods.

8. Broadcasting rights related to the use of services

8.1 Subscriber's Responsibilities Regarding Broadcasting Rights

Voconix provides Subscribers and Users with a catalog of music that can be used as background music for voice messages created using the Services. These music tracks, or any other tracks of the User's choice that they have uploaded themselves to the mixing tool, may be subject to reporting requirements and royalty payments collected by collective copyright management organizations and producers, as soon as the Subscriber broadcasts them.

The Subscriber acknowledges and accepts that it is their sole responsibility to complete the necessary procedures for requesting authorization to broadcast, declaring, and paying any royalties due to collecting societies. The Subscriber must independently ascertain the use and type of broadcasting carried out by themselves or by Users under their control linked to their Account, and identify the organizations, in France or abroad in the country of use and broadcast, with which declaration procedures must be completed for the chosen use.

Voconix explicitly alerts the Subscriber and/or User to the existence of these obligations and their responsibility: (i) at the time of creating their Account; (ii) in the help documentation; (iii) as well as on the page for downloading the final audio files.

8.2 Catalogue entries

Voconix displays on its music catalogue indicative information of the main rights to which they are subject, primarily for use in telephony messages:

  • for titles described as "commercial", SACEM and/or SCPA are mentioned, for France;
  • For titles commonly referred to as "royalty-free" or "out of copyright," these are titles that are not part of the SACEM repertoire. However, under certain usage conditions, these titles may be subject to certain royalties.
 

8.3 Subscriber autonomy for phonogram reproduction

The Subscriber and/or their account users are autonomous, thanks to the Voconix Services and the mixing tools they use, in editing and creating their own final audio files for their subsequent use. Therefore, it is the Subscriber's responsibility, when completing their annual SACEM/SCPA rights declaration, to indicate that they created their own messages and thus pay the "phonogram reproduction" fee (which is estimated at €8 in 2025) to the collecting society.

8.4 Certificate issued for a musical title

Voconix offers, as part of its Services, the option to generate a Certificate for the musical track chosen by the User, specifying whether the track is "out of rights," meaning it is not part of the SACEM repertoire. This Certificate can be used by the Subscriber for their reporting requirements. These Certificates do not guarantee in any way that the Subscriber is free from royalties or reporting requirements, as these generally depend on how the Subscriber manages their distribution throughout the year and for all their messages, whether these were created with Voconix or by other means.

9. Intellectual Property

Voconix possesses all the necessary rights to execute these Terms of Use, including Intellectual Property rights to the Platform, Services, and trademarks it owns. No transfer of Intellectual Property rights may be construed as a result of the Subscription or its execution.

Subject to the paragraph below, Voconix grants the Subscriber and/or User, for the duration of the Subscription, a personal, non-exclusive, revocable, non-transferable, and non-assignable right to use the Platform, the applications, and the Documentation relating to the Services. Any third-party software integrated into the Platform is governed by the license terms applicable to said software.

The Subscriber and/or User is prohibited from: 

  • reproduce temporarily or permanently, correct, extract, modify, translate into any language, reuse, arrange, adapt, decompile, decrypt, disassemble the source code, the components of the Platform, the Services, or the content of the Site or merge them into other software or create derivative works based on the Platform by any means and medium; 
  • grant a license or sublicense, sell or resell, rent, lend, distribute, transfer or timeshare or commercially make available the Services and/or the Platform;
  • conduct penetration tests, vulnerability scans or cause a denial of service on the Platform and/or the Services.

 

10. Duration

The Paid Subscription is concluded for a fixed term from the Effective Date and is automatically renewed, unless terminated by the parties in accordance with Article 12. The Services are provided for (a) a period of one (1) year for an annual Subscription, and (b) for Additional Services concluded during the term of the annual Subscription, until the subscribed quantities are exhausted and at the latest at the end of the period of the annual Subscription.

11. Protection of personal data

The Subscriber and the User acknowledge that Voconix processes certain personal data. Appendix A to these Terms of Use contains all information relating to the Processing carried out by Voconix as Data Controller.

12. Suspension and termination

12.1 Suspension 

Voconix may, without prior notice, suspend or limit access to all or part of the Services (i) in the event of a breach by the Subscriber and/or User of the Terms of Service and/or applicable laws and regulations; (ii) in the event of a payment incident; (iii) in the event of any action, omission, or negligence on the part of the Subscriber or any User that may damage the image or reputation of Voconix or constitute a threat to the security of the Platform. The suspension notice sent by Voconix will specify the reasons for its decision. The suspension will remain in effect until the Subscriber and/or User remedies the issue or until the Subscription is terminated. 

12.2 Termination by the Subscriber and/or the User 

The Subscriber may, at any time and without justification or compensation, terminate part of the Services or cancel their entire Subscription via the online help form available in their account. To do so, the Subscriber must give thirty (30) days' notice before the end of the current Commitment Period, if the Subscription is annual. The Subscriber is informed that any payment made for the Services will remain the property of Voconix and that any Commitment Period already begun remains due in full. No pro rata refund will be issued for the cancellation of the Subscription, regardless of the reason.

12.3 Termination by Voconix 

Voconix may terminate any Free Subscription in the event of non-use of the Account created or prolonged inactivity of more than ninety (90) days, by written notification sent by any means, and without compensation to the Subscriber.

Voconix may, at any time and without justification or compensation, terminate any part of the Services or cancel the entire paid Subscription by sending written notice by any means. To this end, Voconix undertakes to make its best efforts to provide one (1) month's notice before the end of the current Commitment Period, if the Subscription is annual. The paid Subscription will automatically terminate upon expiry of the notice period specified in the written notification. In the case of an annual Subscription, the Subscriber will be reimbursed pro rata for the unused portion of the Subscription.

12.4 Termination for cause

Voconix may, without compensation or reimbursement to the Subscriber, terminate all or part of the Services or cancel the entire Subscription by any means, in the event of (i) a breach by the Subscriber and/or User of the Terms of Service and/or applicable laws and regulations; (ii) failure of the email validation procedure; (iii) a payment incident; or (iv) any action, omission, or negligence that may damage Voconix's reputation, create a legal risk for Voconix, or constitute a threat to the security of the Platform. If the Subscriber and/or User fails to remedy the situation, Voconix may terminate the Service or Subscription by any means within ten (10) days of the date of notification of the suspension of access to the Services. 

12.5 Effect of termination

The Subscriber's and Users' access to the Platform, Services and Account data is removed upon the termination taking effect.

13. Modifications

Voconix reserves the right to modify these Terms of Use at any time, particularly to reflect changes to the Services or changes in laws and/or regulations, subject to a notice period of thirty (30) days from the date of notification of the change. The Subscriber and/or User acknowledges and accepts that the applicable Terms of Use of Voconix are those available online on the date of access and for each use of the Services.

14. Amicable Settlement - Applicable Law and Jurisdiction

The Parties shall endeavor to resolve amicably and in good faith, before any legal action, all disputes relating to this Terms of Use and their contractual relationship within the framework of the Paid Subscriptions, within sixty (60) days of the first notification of the dispute by either Party by registered letter with acknowledgment of receipt. This Terms of Use are governed by French law. If the Subscriber and Voconix are unable to reach an amicable settlement, all disputes shall be submitted exclusively to the competent courts within the jurisdiction of the Court of Appeal of Bordeaux, France.

Annex A - Protection of personal data (GDPR)

1. Data Controller

In the context of the use of the Site and Services, Voconix (VOXELIS SAS company) acts as data controller within the meaning of Regulation (EU) 2016/679 (GDPR).

2. Personal data collected

The personal data that may be collected is strictly necessary for the provision of services and may include, in particular:

  • Professional identity of the Subscriber and Users (name, surname, function),
  • professional contact details (postal address, email address, telephone number),
  • User connection and service usage data,
  • billing information,
  • Information, content, and editing settings for messages created with Voconix
  • Identity of the personal recipients of the messages (name, surname, position)
 

No irrelevant personal data is collected.

3. Purposes of the processing

The data is processed for the following purposes:

  • provision and management of Services,
  • customer and user account management,
  • customer support and technical assistance,
  • compliance with legal and regulatory obligations,
  • improvement and security of services.
 

4. Legal basis for processing

The treatments are based on:

  • the execution of the contract binding the Subscriber to Voconix,
  • compliance with legal obligations,
  • Voconix's legitimate interest in ensuring the security and improvement of its Services.
 

5. Data Recipients

Personal data is intended exclusively for authorized internal departments of Voconix and, where applicable, its technical subcontractors (hosting, maintenance, support), acting in accordance with the GDPR.

Data related to the editing of final messages (message content, recipient, etc.) are transmitted to third-party companies (IT integrators) explicitly designated by the Subscriber as the technical recipient(s) of the created messages.

No data is sold to third parties.

6. Shelf life

Personal data is kept for the period strictly necessary for the provision of the Subscription, then archived or deleted in accordance with applicable legal obligations.

7. Data Security

Voconix implements appropriate technical and organizational measures to ensure the confidentiality, integrity and security of personal data.

8. Rights of the persons concerned

In accordance with applicable regulations, the persons concerned have the following rights:

  • right of access, rectification and erasure,
  • right to limit and object to processing,
  • right to data portability,
  • right to lodge a complaint with the competent supervisory authority.

  1. Transfers outside the European Union

In principle, the data is hosted within the European Union. In the event of a transfer outside the EU, this is governed by appropriate safeguards in accordance with the GDPR.
